This Release and Waiver of Liability and Indemnity Agreement (“Agreement”) is entered into by the undersigned individual (“Participant”) in connection with their voluntary participation in exclusive activities organized and hosted by Evolution Sports Expo LLC in partnership with Real Leader Fitness, and featuring appearances and/or training opportunities with Mike O’Hearn, Wendy Fortino, and Victor Martinez during the EVO Sports Expo on April 12, 2025, at the Santa Clara Convention Center (the “Event”). The “Released Parties” include, but are not limited to: Evolution Sports Expo LLC, Real Leader Fitness, Mike O’Hearn, Wendy Fortino, Victor Martinez, Santa Clara Convention Center, event sponsors, volunteers, vendors, employees, contractors, representatives, and affiliates. 1. ACKNOWLEDGEMENT OF RISK Participant understands and acknowledges that participation in fitness training, physical demonstrations, workshops, Q&A sessions, and other activities at the Event involves inherent risks, including, but not limited to, risk of serious injury, illness, emotional distress, or death. These risks may be caused by personal actions or inactions, those of other participants, the condition of the venue or equipment, or the negligence of any of the Released Parties. 2. ASSUMPTION OF RISK Participant voluntarily assumes full responsibility for any risks of loss, damage, illness, or personal injury that may occur as a result of participating in the Event, whether or not caused by the negligence of the Released Parties. 3. RELEASE AND WAIVER In consideration for being allowed to participate in the Event and access VIP and Elite-level experiences, Participant waives, releases, and discharges the Released Parties from any and all claims, liabilities, demands, or causes of action, known or unknown, arising out of or related to participation in the Event, including but not limited to claims for negligence, personal injury, property damage, wrongful death, or economic loss. 4. INDEMNIFICATION Participant agrees to indemnify and hold harmless the Released Parties from and against any and all injuries, losses, liabilities, damages, claims, or expenses (including attorneys' fees and court costs) resulting from Participant’s involvement in the Event, violation of this Agreement, or injury to others caused by Participant. 5. FITNESS TO PARTICIPATE Participant affirms that they are in good physical condition and do not suffer from any medical condition or impairment that would limit their ability to safely participate in physical activity. Participant has consulted with a physician or acknowledges the responsibility to do so prior to the Event. 6. EMERGENCY MEDICAL TREATMENT In the case of injury or medical emergency, Participant consents to receive medical care and treatment as deemed necessary by medical professionals onsite. Participant agrees to be financially responsible for all such treatment. 7. MEDIA RELEASE Participant grants permission to the Released Parties to photograph, video record, and/or use Participant’s likeness, voice, and name in any media or promotional materials without further notice, compensation, or approval. 8. COVID-19 & COMMUNICABLE DISEASES Participant understands the risk of exposure to communicable diseases, including but not limited to COVID-19, and voluntarily accepts that risk. Participant agrees to comply with any health and safety guidelines imposed by the Event or venue. 9. GOVERNING LAW & VENUE This Agreement shall be governed and interpreted in accordance with the laws of the State of California. Any legal action shall be brought exclusively in the courts of Santa Clara County, California. 10. SEVERABILITY If any part of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 11. ENTIRE AGREEMENT This document represents the entire agreement between Participant and the Released Parties, superseding any previous understandings, oral or written. BY SIGNING BELOW, Participant acknowledges they have read, understood, and voluntarily agree to the terms of this Agreement.
